Athlete Agreement

This Platform Athlete Agreement (“Agreement”) is entered into between NIL Unlimited LLC, a Tennessee limited liability company (“NIL Unlimited,” “Platform,” “we,” “us”), and you, the athlete or creator (“Athlete,” “you,” “your”), effective upon your acceptance during account registration.

By checking the “I agree to the NIL Unlimited Athlete Agreement” box during sign-up, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

NIL Unlimited operates a marketplace platform that enables college athletes to earn money from their Name, Image, and Likeness (“NIL”) by promoting products from participating brands through personalized storefronts. This Agreement governs your participation as an Athlete on the Platform.

What you’re granting

You grant NIL Unlimited a non-exclusive, revocable, limited license to use your Name, Image, and Likeness solely in connection with the Platform, including:

• Displaying your name, profile photo (or initials), sport, and school on your storefront page.
• Including your name and basic profile information in the Platform’s leaderboard, search results, and directory.
• Using your name and storefront in Platform marketing materials (e.g., “Athletes like [Your Name] use NIL Unlimited to earn”).

What you’re NOT granting

• This is not an exclusive agreement. You may participate in any other NIL activities, platforms, endorsement deals, or brand partnerships.
• We will never use your likeness to imply a personal endorsement of any specific product without your participation in a campaign for that product.
• We will never sell or transfer your NIL rights to any third party.
• We will never use your NIL in political, controversial, or adult content.

Your right to revoke

You may revoke this license at any time by deactivating your account. Upon revocation, we will remove your profile and storefront from the Platform within a reasonable timeframe (typically 7 business days). Revocation does not affect commissions already earned.

Commission structure

• When you join a Brand’s campaign, you receive a unique storefront link.
• When a buyer purchases a product through your link, you earn a commission.
• Commission rates are set by each Brand and displayed in the campaign details before you join.
• Commission rates may vary by campaign and product.

Earnings lifecycle

1. Sale occurs — commission is created with “pending” status.
2. Return window — commission remains pending during the return period (typically 30 days).
3. Available — if no return occurs, commission becomes available for payout.
4. Void — if the product is returned, the commission is voided and removed from your balance.
5. Paid — when you request a cash-out, available funds are sent to your payout account.

Important earnings notes

• Commissions are calculated on the product sale price (excluding tax and shipping).
• NIL Unlimited does not guarantee any minimum earnings.
• Earnings depend on your promotional activity and the buying behavior of your audience.
• Leaderboard rankings are based on confirmed earnings and update in real-time.

• Payouts are processed via Venmo (additional methods may be added in the future).
• You must have a valid Venmo account linked to your NIL Unlimited profile to receive payouts.
• Payout requests are processed within 48 hours during business days.
• There is no minimum payout threshold for the initial launch period (this may change).
• You are responsible for maintaining accurate payout information.

• You are an independent contractor, not an employee of NIL Unlimited.
• You are solely responsible for reporting and paying all applicable taxes on your earnings.
• NIL Unlimited will issue an IRS Form 1099-NEC for earnings exceeding $600 in a calendar year.
• You must provide accurate tax information (name, address) when requested.
• NIL Unlimited does not provide tax advice; consult a tax professional for your specific situation.

As an Athlete on the Platform, you agree to:

• Honest promotion — only promote products you are willing to stand behind. Do not make false claims about products.
• Authentic engagement — do not use bots, fake accounts, or any automated tools to generate artificial sales or traffic.
• No self-purchasing — do not purchase products through your own storefront link to inflate earnings. Self-referral purchases will be voided and may result in account suspension.
• Compliance — comply with all applicable laws, including FTC disclosure requirements for sponsored content. When promoting products on social media, you should disclose your affiliate relationship (e.g., “#ad” or “#sponsored” or “I earn commission on sales through my link”).
• Accurate information — maintain accurate profile information including your sport, school, and contact details.
• Respectful conduct — treat other Athletes, Brands, and Buyers with respect.

Your representations

By joining the Platform, you represent and warrant that:

• Your NIL activities on this Platform comply with all applicable rules of your educational institution, athletic conference, and governing body (NCAA, NAIA, or other).
• You have reviewed and understand your school’s NIL policies.
• You have completed any required NIL disclosures with your school’s compliance office, or will do so promptly after joining the Platform.
• You will notify NIL Unlimited if your eligibility to participate in NIL activities changes.

Our role

• NIL Unlimited is not your agent, representative, or advisor.
• We do not provide legal, tax, or compliance advice regarding NIL regulations.
• We do not guarantee that your participation on the Platform complies with your specific school’s policies — that is your responsibility.
• We will cooperate with reasonable requests from your school’s compliance office regarding your activity on the Platform.

• You may join any available campaign on the Platform by applying or accepting an invitation.
• Some campaigns require Brand approval before you can participate.
• Campaign terms (commission rates, discounts, duration) are set by the Brand and displayed before you join.
• You may leave a campaign at any time. Commissions earned before leaving will still be processed normally.
• Brands may end campaigns at any time. You will continue to earn commissions on sales made before the campaign ends.

• The Platform features leaderboards ranking Athletes by earnings (converted to points: $1 earned = 1 point).
• Rankings update in real-time based on all non-voided sales.
• NIL Unlimited may run competitions with prizes based on leaderboard performance during specific time periods.
• Competition results are finalized after all return windows for the competition period have closed.
• Prizes are awarded based on finalized standings, not live rankings.
• NIL Unlimited reserves the right to disqualify Athletes from competitions for fraudulent activity.

• Your storefront URL (nilunlimited.co/@[username]) is your personalized page on the Platform.
• You may customize your storefront by adding or removing products from campaigns you’ve joined.
• Product descriptions, images, and pricing are provided by the Brand — you may not modify them.
• You may share your storefront link on any social media platform or through any legal channel.

By you

You may terminate this Agreement at any time by deactivating your account or contacting support@nilunlimited.co. Upon termination:

• Your storefront will be deactivated.
• Commissions that have cleared the return window will be paid out.
• Pending commissions will be processed normally (paid if no return, voided if returned).
• Your profile will be removed from leaderboards.

By NIL Unlimited

We may suspend or terminate your account if:

• You violate this Agreement or the Terms of Service.
• You engage in fraudulent activity.
• You engage in conduct that harms the Platform, other Athletes, Brands, or Buyers.
• Your school or governing body prohibits your participation in NIL activities.

We will provide notice of termination (except in cases of fraud or immediate safety concerns) and process any earned commissions as described above.

NIL UNLIMITED’S TOTAL LIABILITY TO YOU UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

NIL UNLIMITED IS NOT LIABLE FOR LOST EARNINGS, LOST OPPORTUNITIES, OR ANY INDIRECT DAMAGES ARISING FROM YOUR PARTICIPATION ON THE PLATFORM.

We may update this Agreement from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after changes take effect constitutes acceptance. If you disagree with changes, you may terminate your account.

This Agreement is governed by the laws of the State of Tennessee. Any disputes shall be resolved through binding arbitration in Nashville, Tennessee, in accordance with the rules of the American Arbitration Association.

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and NIL Unlimited regarding your participation as an Athlete on the Platform.
